ORBIT by ProSound Media is an AI-powered business operations platform that includes tools for:

• AI-assisted email management and draft generation (Gmail)
• Revenue tracking, invoicing, and financial reporting
• Contact and pipeline management
• AI-powered business intelligence and recommendations

The Service integrates with third-party platforms including TikTok, Instagram, Facebook, LinkedIn, and Gmail, subject to those platforms' own terms and policies.

3. User Accounts

You must create an account to use the Service. You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Providing accurate and complete information when registering
• Notifying us immediately of any unauthorized use of your account

You may not use another person's account without their explicit permission.

4. Third-Party Platform Integrations

The Service allows you to connect third-party accounts including TikTok, Facebook, Instagram, LinkedIn, and Gmail. By connecting these accounts, you:

• Authorize ORBIT by ProSound Media to access and interact with them on your behalf, subject to the permissions you grant
• Acknowledge that your use of those third-party services remains subject to their own terms of service and privacy policies
• Confirm that you have the authority and rights to connect those accounts to ORBIT by ProSound Media

ORBIT by ProSound Media will only publish content or take actions on connected platforms when you explicitly review and approve such actions. We are not responsible for the policies, actions, or content of third-party platforms.

5. Acceptable Use

You agree to use ORBIT by ProSound Media only for lawful purposes. You may not use the Service to:

• Publish content that is illegal, harmful, threatening, abusive, harassing, defamatory, or fraudulent
• Violate the terms of service of any connected third-party platform
• Infringe on the intellectual property rights of others
• Attempt to gain unauthorized access to any part of the Service or its infrastructure
• Use the Service to distribute spam or unsolicited commercial communications
• Engage in any activity that could disable, overburden, or impair the Service

ProSound Media reserves the right to suspend or terminate accounts that violate these Terms without prior notice.

6. Content and Intellectual Property

You retain full ownership of all content you create, upload, or publish through the Service. By using ORBIT by ProSound Media, you grant ProSound Media a limited, non-exclusive license to process and display your content solely as necessary to provide the Service to you.

The Service itself — including its software, design, features, and AI models — is owned by ProSound Media and protected by applicable intellectual property laws. You may not copy, modify, distribute, or reverse-engineer any part of the Service.

AI-generated content produced by the Service is provided as a draft for your review. You are solely responsible for any content you choose to publish through the Service.

7. Payment and Subscriptions

Access to certain features of ORBIT by ProSound Media requires a paid subscription:

• Subscription fees are billed in advance on a monthly or annual basis via Stripe
• All fees are non-refundable unless otherwise stated or required by applicable law
• ProSound Media reserves the right to change subscription pricing with 30 days' prior notice
• Failure to pay subscription fees may result in suspension or termination of your account

8. Data and Privacy

Your use of ORBIT by ProSound Media is subject to our Privacy Policy, which is incorporated into these Terms by reference. The Privacy Policy describes how we collect, use, and protect your information, including data from connected third-party platforms such as TikTok, Meta, LinkedIn, and Gmail.

We do not sell your personal information to third parties. Platform-specific data (such as TikTok or Meta data) is used solely to provide the features of ORBIT by ProSound Media that you request.

9. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied. ORBIT by ProSound Media does not warrant that the Service will be uninterrupted, error-free, or free from harmful components. We do not guarantee the accuracy, completeness, or suitability of any AI-generated content produced by the Service. You use AI-generated content at your own risk and are responsible for reviewing it before publishing.

10. Limitation of Liability

To the maximum extent permitted by applicable law, ProSound Media shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service, including loss of profits, data, or business opportunities. Our total liability to you shall not exceed the total amount you paid for the Service in the 12 months preceding the claim.

11. Termination

ProSound Media reserves the right to suspend or terminate your access to ORBIT by ProSound Media at any time for violation of these Terms or for any other reason at our sole discretion, with or without prior notice. You may terminate your account at any time by contacting support@prosoundmedia.com or through the Settings page. Upon termination, your right to use the Service will immediately cease and we will handle your data in accordance with our Privacy Policy.

12. Changes to These Terms

ProSound Media reserves the right to modify these Terms at any time. We will notify you of significant changes by email and by posting a notice within the Service. The "Last updated" date at the top of this page reflects the most recent revision. Your continued use of ORBIT by ProSound Media after changes take effect constitutes your acceptance of the revised Terms.

Any disputes arising under these Terms shall be resolved through good-faith negotiation first, and if unresolved, through binding arbitration.
